Terms of Sale & Service

These Terms of Sale & Service (“Terms”) govern access to and use of the Northdocs service operated by Northdocs ApS (“Northdocs”, “we”, “us”). By creating a workspace, subscribing, or using Northdocs, you agree to these Terms on behalf of your organization (“Customer”, “you”).

If you enter into a separate written master services agreement (MSA) or order form with Northdocs, that document controls to the extent of conflict with these Terms.

Northdocs provides document redaction and pseudonymization tooling (Cases / Redact), including detection, human review, apply/verify pipelines, binders/exports, Conversation Redact, optional Outbound Guard for Outlook, Prompt Guard, optional connectors, APIs, and related features described on our website and in-product documentation. Features vary by plan.

Redaction and detection outputs are assistive. You remain responsible for final review before disclosure, filing, or production.

You must maintain accurate account information and safeguard credentials. Organization administrators control membership, roles, retention, AI detection, and other settings. You are responsible for activity under your organization’s accounts, including reviewers and API keys.

Northdocs is offered on subscription plans billed per named user (seat) each month, with a workspace page-based usage allowance included. Prices are shown in DKK or EUR on the pricing page and at checkout and are exclusive of VAT unless stated otherwise. We may update pricing with reasonable notice before the next renewal.

Each Cases plan includes a monthly workspace page allowance. Conversation Redact also uses a per-user voice-minute allowance (pooled across billed seats). Outbound Guard mailbox seats have no document page allowance. When usage approaches or exceeds an allowance we may enforce soft or hard quotas (including blocking new uploads) to protect platform stability. Overages are not automatically billed; upgrade to a higher plan or contact sales for a custom allowance.

New workspaces may start on a 30-day trial with Firm-level Cases features and Outbound Guard. Unless you subscribe to a paid plan before the trial ends, the workspace is locked and processing features are no longer available until you subscribe. There is no free forever plan. Prompt Guard remains available as a public clipboard tool without an account.

Fees are due in advance for each billing period. Self-serve subscriptions are billed through Stripe Checkout and invoices; Northdocs does not store full card numbers. Enterprise invoice licensing may be administered without Stripe Checkout. Except where required by law, payments are non-refundable. You may cancel at any time; cancellation takes effect at the end of the current billing period. Late amounts may result in suspension after notice.

You must not use the Service to:

• Violate applicable law or third-party rights, including data-protection, secrecy, or export rules.
• Upload malware or attempt to probe, scan, or circumvent security or usage controls.
• Resell or provide the Service to third parties except as expressly permitted in writing.
• Interfere with other customers’ use of the platform or overload infrastructure unreasonably.
• Misrepresent outputs as having been human-verified when they have not.

You are responsible for having a lawful basis to process documents you upload, including special-category and criminal-related data where applicable.

Between the parties, you retain all rights to documents and data you upload (“Customer Content”). You grant Northdocs a limited license to host, process, transmit, and display Customer Content solely to provide and secure the Service and as described in the DPA. DPA.

We do not use Customer Content to train general-purpose AI models for other customers. Optional AI detection subprocessors are engaged only when your organization enables AI detection, subject to the DPA and Subprocessors register.

Northdocs and its licensors own the Service, software, documentation, and branding. These Terms do not grant you any rights to our trademarks or source code except the limited right to use the Service during your subscription.

Each party may receive confidential information of the other. The receiving party will protect it using reasonable care and use it only for performing under these Terms, except for information that is public, independently developed, or rightfully received from a third party without duty of confidence. Customer Content is your confidential information.

Our Privacy Policy explains controller processing. Processing of personal data in Customer Content is governed by the Data Processing Addendum, which is incorporated by reference. We aim for high availability but do not guarantee uninterrupted service unless a specific SLA is agreed in writing (typically Enterprise). Support is provided via the in-app help center and support channels for your plan. Scheduled maintenance will be performed with reasonable care to minimize disruption.

We warrant that we will provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided “as is” without warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that detection or redaction will identify every sensitive string or that outputs are fit for court filing without human review.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or lost-profits damages. Northdocs’ aggregate liability under these Terms is limited to the fees paid by you in the twelve (12) months preceding the event giving rise to the claim.

Nothing excludes liability for death or personal injury caused by negligence, fraud, or other liability that cannot be limited under Danish law.

You will defend and indemnify Northdocs against third-party claims arising from Customer Content, your unlawful instructions, or your violation of these Terms or applicable law, except to the extent caused by Northdocs’ breach of the DPA or gross negligence.

These Terms apply while you have an account or active subscription. Either party may terminate for material breach if not cured within 30 days after notice. Upon termination, your right to access the Service ends and Customer Content is deleted according to retention settings and the DPA. Sections that by nature should survive (IP, confidentiality, liability, indemnity, governing law) survive termination.

These Terms are governed by Danish law. The courts of Copenhagen, Denmark have exclusive jurisdiction, without prejudice to mandatory consumer or data-protection rights where applicable.
